Terms of Service

This End User License Agreement ("EULA") is a binding agreement between you ("User" or "you") and AnalyticLabs Data Consulting Inc. ("ALDC", "we", "us", or "our") regarding your use of the Eclipse platform and related services (the "Service"). By accessing or using our services, you agree to be bound by these terms. If you do not agree, please do not use our services.

1. License Grant

Subject to your compliance with this EULA, ALDC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes.

2. Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove or alter any proprietary notices or labels
• Use the Service for any illegal purpose
• Share your account credentials or allow unauthorized access
• Use the Service to store or transmit malicious code

3. User Data

"User Data" refers to any data that you upload, process, or store using our services.

You retain all rights to your data. By using the Service, you grant ALDC a license to use, store, and process your data solely for the purpose of providing and improving the Service.

You are responsible for ensuring that you have all necessary rights and permissions to use and share any data you upload to the Service.

4. Intellectual Property

The Service and all related content, features, and functionality are owned by ALDC and are protected by intellectual property laws. This EULA does not grant you any rights to ALDC's trademarks, service marks, or logos.

5. Account and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

6. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. ALDC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, ALDC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

8. Indemnification

You agree to indemnify, defend, and hold harmless ALDC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service.

9. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Sections 3, 4, 6, 7, 8, and 10 shall survive termination.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

11. Changes to EULA

We reserve the right to modify this EULA at any time. We will notify you of any changes by posting the new EULA on this page with a revised "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new EULA.
